Please review these Terms and Conditions of Service (“Terms”) carefully before using any services offered by Ernora Pay (“Ernora Pay”, “we”, “us”, or “our”). By accessing or using our services, you confirm that you have read, understood, and agreed to these Terms. These Terms apply to all use of our money transfer, foreign exchange, and payment-related services. If you do not accept these Terms, you must not use our services.

IMPORTANT NOTICE

The client confirms and represents that any account opened with Ernora Pay is opened solely in their own name and for their own benefit, and that no undisclosed third party is acting on their behalf.

Any information concerning digital assets is intended only for individuals located outside the United Kingdom and must not be relied upon by persons in the United Kingdom. Services related to digital assets are made available only to persons with relevant professional experience in matters involving digital assets. Persons without such professional experience should not act in reliance on such information.

1. Definitions

For the purposes of these Terms:

“Services” means the financial services made available by Ernora Pay, including money remittance, foreign exchange, and payment service support activities.

“Customer”, “you”, or “your” refers to any individual, sole proprietor, company, or other entity using our services.

“Transaction” means any remittance, payment, transfer, conversion, or other financial instruction submitted through Ernora Pay.

“Business Day” means any day on which financial institutions in Canada are open for regular business, excluding weekends and public holidays.

“FINTRAC” means the Financial Transactions and Reports Analysis Centre of Canada.

“PIPEDA” means the Personal Information Protection and Electronic Documents Act.

2. Eligibility

To access or use our services, you must meet the following conditions:

  • You must be at least 18 years old and legally able to enter into binding agreements.
  • You must provide complete, current, and accurate information whenever requested by us.
  • You must not use our services for illegal, fraudulent, or unauthorized purposes.

Ernora Pay reserves the right to decline, limit, or discontinue services at its sole discretion.

3. Use of Services

3.1 Money Transfer Services

Ernora Pay supports domestic and international money transfer services. You are responsible for ensuring that all beneficiary and payment details are accurate. You acknowledge that transactions may be delayed, suspended, or rejected if information is incomplete, inaccurate, or subject to regulatory review.

3.2 Foreign Exchange Services

We provide currency conversion services using exchange rates available at the time of processing. These rates may change at any time without prior notice and may differ from publicly displayed or benchmark market rates.

3.3 Payment Services

Ernora Pay may provide incoming and outgoing payment processing, settlement support, and related payment services for approved customers. All such use must remain fully compliant with applicable laws, regulations, and our internal compliance and risk standards.

4. Compliance and Verification

As a regulated money services business, Ernora Pay is required to comply with anti-money laundering and anti-terrorist financing obligations. By using our services, you agree that we may require you to:

  • submit valid identification documents and supporting records;
  • complete identity verification and risk assessment procedures;
  • allow us to monitor transactions and, where legally required, retain records and report suspicious activity.

We reserve the right to delay, restrict, request additional documentation for, or decline any transaction that presents legal, regulatory, or compliance concerns.

5. Fees and Charges

All applicable fees will be disclosed before a transaction is confirmed. Charges may include service fees, exchange rate margins, banking costs, and third-party processing expenses. By proceeding with a transaction, you authorize Ernora Pay to apply and deduct all relevant charges from the transfer amount or otherwise collect them as required.

6. Transaction Limits and Processing Delays

We may establish limits on transaction size, frequency, or total activity, including daily, weekly, monthly, or per-transaction thresholds. Transactions may be held, delayed, or subject to further review in cases including, but not limited to:

  • regulatory or compliance screening;
  • missing, inconsistent, or incorrect information;
  • suspicion of fraud, misuse, or unauthorized activity.

7. Refunds and Cancellations

Cancellation or refund requests may be considered only before a transaction has been fully processed, and all such requests are subject to our review and approval. Refunds for completed remittance or foreign exchange transactions are not guaranteed. Where a refund is approved, processing fees, banking charges, exchange losses, or other costs may still apply.

8. Privacy and Data Protection

Ernora Pay collects, stores, and processes personal information in accordance with its Privacy Policy and applicable Canadian privacy legislation, including PIPEDA. By using our services, you consent to the collection, use, disclosure, and retention of your personal information as described in our Privacy Policy.

9. Intellectual Property

All materials displayed on our website or used in connection with our services, including without limitation text, branding, logos, graphics, software, layouts, and other content, are the property of Ernora Pay or its licensors. No part of such content may be copied, reproduced, distributed, modified, or used without prior written consent.

10. No Warranty

Our services are provided on an “as is” and “as available” basis. Ernora Pay makes no representation or warranty that the services will always be uninterrupted, secure, accurate, or free from errors. We do not accept responsibility for interruptions, delays, or failures caused by circumstances outside our reasonable control.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Ernora Pay will not be liable for:

  • indirect, special, incidental, or consequential damages;
  • losses arising from network interruptions, technical failures, banking partner issues, or third-party conduct;
  • unauthorized transactions or losses resulting from your own negligence, misconduct, or failure to protect account credentials or sensitive information.

12. Suspension and Termination

Ernora Pay may suspend, restrict, or terminate your access to any of our services immediately and without prior notice if:

  • you violate these Terms;
  • we suspect unlawful, fraudulent, or abusive activity;
  • you do not satisfy our compliance, due diligence, or risk requirements.

13. Changes to These Terms

We may revise or update these Terms from time to time. Any revised version will become effective once published on our website, unless otherwise stated. Your continued use of our services after such publication will constitute acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.
